GableGotwals acted as co-counsel to ONEOK, Inc. in its $3.0 billion public offering of senior notes consisting of $750 million 4.950% senior notes due 2032, $1.0 billion 5.400% senior notes due 2035, and $1.25 billion 6.250% senior notes due 2055. 

GableGotwals served as legal counsel for Chickasaw Community Bank in its stock purchase agreement to acquire Oklahoma Heritage Bank.

GableGotwals acted as local counsel to ONE Gas Inc. in its $300 million public offering of 5.10% Senior Notes Due 2029. J.P. Morgan Securities LLC, Mizuho Securities USA LLC and U.S. Bancorp Investments, Inc. acted as joint book runners.

Assisted with the company formation, drafting offering documents to raise capital, reviewed the U.S. and worldwide distribution agreements, and negotiated contracts with actors and crew for two feature-length films “Prodigy” and “Under The Influencer.”

GableGotwals acted as local counsel to a Fortune 1000, Oklahoma-based provider of natural gas distribution services in the public offering of over one million shares.

The firm represented WPX Energy, Inc. in connection with the amendment and restatement of its $1.5 billion senior revolving credit facility, including letter of credit and swingline subfacilities and an accordion feature allowing for an increase of an additional $300 million.

GableGotwals represented OGE Energy Corp. and its subsidiary, Oklahoma Gas and Electric Company, as sole and lead counsel in two new unsecured five-year revolving credit facilities with a combined borrowing capacity of $1.1 billion.

GableGotwals acted as local counsel to Oklahoma Gas and Electric Co., a utility generation, transmission and distribution company, in the issuance of $450 million in aggregate principal amount of 5.4% Senior Notes, Series due January 15, 2033.

GableGotwals and Latham & Watkins advised ONEOK, Inc., a leading midstream service provider, in a debt offering valued at $750 million. Shearman & Sterling represented underwriters, including Barclays, Mizuho Securities USA LLC, Toronto-Dominion Bank and Wells Fargo Securities who acted as the underwriters’ representatives. The notes come due in 2032.

GableGotwals represented Stinnett & Associates, a professional advisory firm and certified Women’s Business Enterprise, in an agreement to sell its assets to publicly-traded CBIZ Inc., a leading provider of financial, insurance and advisory services to businesses throughout the United States.
